MAJIN CLIENT AGREEMENT
1. Introduction
1.1 Welcome to Majin ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our services, including our website majin.land, communications, and any software development projects we undertake with you ("Client" or "you"). By engaging with our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.
2. Project Engagement
2.1 Initial Consultation
- We offer discovery calls or consultations to understand your requirements and assess project feasibility. These are typically non-binding unless otherwise stated.
2.2 Project Scope & Proposal
- Once aligned, we will provide a written proposal outlining project scope, deliverables, timeline, and cost. Your acceptance of the proposal signifies agreement to proceed under these Terms.
2.3 Change Requests
- Any changes to scope after project commencement must be documented and may incur additional charges or timeline adjustments.
3. Client Responsibilities
- Provide accurate, timely, and complete project requirements and feedback.
- Assign a primary point of contact for communication.
- Supply all content, assets, and access credentials needed for project execution.
Failure to fulfill these responsibilities may delay delivery or result in additional costs.
4. Payments & Billing
4.1 Payment Terms
Payment terms will be outlined in the project proposal. We may require a deposit before project commencement, with remaining amounts billed per milestone or upon delivery.
4.2 Late Payments
Late payments may incur penalties or service suspension. Ownership and rights to deliverables remain with Majin until full payment is received.
4.3 Payment Channels
We use secure third-party providers (e.g., Xendit, Stripe, or bank transfer) for processing payments. We do not store your sensitive financial data.
5. Deliverables & Acceptance
5.1. Delivery
We will deliver the agreed-upon software or services as outlined in the project scope.
5.2. Acceptance Testing
Clients are responsible for reviewing and testing deliverables within a reasonable time (typically 7 days). If no feedback is given within the review window, the deliverable will be considered accepted.
6. Intellectual Property
6.1. Ownership
Upon full payment, all custom software source code and assets developed for the client are transferred to the client, unless otherwise agreed in writing.
6.2. Reuse of Tools
Majin retains the right to reuse general tools, libraries, templates, or internal frameworks used during development that are not specific to your business.
6.3. Portfolio Rights
Unless a written NDA prohibits it, we may showcase non-confidential parts of the project in our portfolio or marketing materials.
7. Confidentiality
7.1 We agree to treat all client data, intellectual property, and business processes as confidential and not disclose them to third parties unless required by law or with your written permission.
8. Warranties & Support
8.1. Warranty Period
We offer a limited warranty period (typically 14–30 days post-delivery) for bug fixes and functionality issues directly related to project scope.
8.2. Support Services
Ongoing maintenance, updates, or enhancements can be provided through a separate support agreement.
9. Limitations of Liability
9.1 To the fullest extent permitted by law, Majin is not liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, loss of data, or system downtime arising from use or misuse of our services.
10. Termination
10.1. By Client
You may terminate the project with written notice. Work completed up to the date of termination will be invoiced.
10.2. By Majin
We reserve the right to terminate the agreement for breach of contract, non-payment, or unethical conduct. All work completed will be billed accordingly.
11. Dispute Resolution
11.1 In case of a dispute, both parties agree to make good-faith efforts to resolve the issue amicably. If necessary, disputes shall be settled under the jurisdiction of Indonesian law.
12. Governing Law
12.1 These Terms are governed by the laws of Indonesia, without regard to conflict of law principles.
13. Updates to Terms
13.1 We may update these Terms from time to time. Updated versions will be posted on our website. Continued use of our services constitutes acceptance of the revised Terms.
